Saudi Arabia has become one of the most attractive investment markets in the region, but moving quickly does not mean skipping the right legal groundwork. Mistakes made at incorporation are the most expensive ones later, because they carry into every contract and every working relationship.
1. Choose the right legal form
Limited liability company, joint stock company, or branch of a foreign company? Each option affects liability, capital, governance and zakat and tax obligations. The decision should follow your business plan, not whichever process is fastest.
2. Investment licence
Foreign investment requires a licence from the Ministry of Investment, after confirming that the target activity is open to foreign investment and checking any conditions specific to it.
3. Memorandum and articles of association
This is your company's constitution: authorities, decision-making, partners' rights and how a partner exits. Drafting it carefully prevents most future shareholder disputes.
4. Operational registrations
After commercial registration come the registrations with the relevant authorities, such as the Zakat, Tax and Customs Authority, social insurance and the labour platforms. Any delay here can hold up the start of operations.
5. Contracts and regulations from day one
Employment contracts and internal regulations, supply and distribution agreements, and NDAs. Putting them in place early costs far less than dealing with the consequences of their absence.
At Batat we support investors through every one of these stages, with video meetings and electronic notarisation that reduce the need to attend in person for many procedures.
